INTRODUCTION
This Privacy Statement explains how Instacart Health Services (“IHS”, “we”, or “us”) collects, uses, and shares your personal information when you use the IHS “Fresh Funds” services through any participants in our healthy eating program (“Program”), including nonprofits, healthcare providers, insurers, employers, and others (“Health Partners”).
For purposes of this Privacy Statement, “personal information” refers to information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to you.

INFORMATION WE COLLECT
In order to administer the Program, we collect and process personal information from and on behalf of our Health Partners as a “business associate" or “service provider”. Information we may collect from our Health Partners for such purposes may include your name, email address, physical address, eligibility information and other information necessary to submit claims in connection with the program. This information is controlled and owned by the Health Partners in whose program you participate and not by us.
We also receive relevant information from Maplebear, Inc. (dba Instacart), including your FreshFunds transaction data, which we use to provide and administer the Program on behalf of our Health Partners, including for billing purposes.

BUSINESS PURPOSES FOR PROCESSING PERSONAL INFORMATION
We collect and process your personal information for limited purposes, including to:
- Provide, operate, and administer the Program, such as to send you FreshFund codes and bill our Health Partners.
- Communicate with you on behalf of our Health Partners, including by email or phone, in connection with the Program.
- Conduct analytics and other research to develop and improve the Program.
- Monitor, protect, and maintain the security and integrity of the Program and our business, such as protecting against and preventing fraud, unauthorized transactions, claims, and other liabilities.
- Carry out sales and business transactions in which information held by us is among the assets transferred or is otherwise relevant to the evaluation, negotiation, or completion of the transaction, including in connection with a bankruptcy.
- Comply with applicable laws and regulations and respond to lawful requests and communications from law enforcement and other government officials.
- Protect our rights, privacy, safety, property and/or those of others.
We may also use your information in other ways if and as instructed by you.

DISCLOSURE OF INFORMATION
We may disclose each category of your personal information that we collect to the following categories of recipients:
- Health Partners. We disclose your personal information to the Health Partner in whose program you participate.
- Service Providers. We disclose your personal information to our service providers that provide business, professional, or technical support services to us, help us operate our business and the Program, or administer activities on our behalf. We require our service providers to only use your personal information in connection with providing services to IHS, in accordance with applicable law. These service providers may include one or more of our affiliates.
- Relevant Third Parties as Part of a Corporate Transaction. In the event of a reorganization, merger, sale, joint venture, assignment, transfer, or other disposition of all or any portion of our business, assets, or stock (including in connection with a bankruptcy or similar proceeding), we may disclose or transfer your personal information to certain third parties, such as the acquiring entity and its advisers.
- Other Third Parties. We will disclose your personal information to other third parties at your direction or with your consent. Additionally, we will disclose your personal information as we believe necessary or appropriate to: (a) comply with applicable law; (b) enforce our terms and conditions; (c) protect our operations; (d) protect our rights, privacy, safety, or property, and/or those of you or others; and (e) allow us to pursue available remedies or limit damages that we may sustain.
We may disclose your personal information for other reasons that we will describe at the time of information collection or prior to disclosing your information.
We may also share such de-identified information, as described above, with others.

SMS DISCLOSURE
- You can cancel the SMS service at any time. Just text "STOP" to the short code. After you send the SMS message "STOP", we will send you an SMS message to confirm that you have been unsubscribed.
- If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at 1-888-246-7822.
- Carriers are not liable for delayed or undelivered messages.
- Message and data rates may apply for any messages sent to you from Instacart and to Instacart from you. Message frequency will vary. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
- We do not sell your telephone number or SMS consent to third parties (or affiliates) for their promotional/marketing purposes.

YOUR PRIVACY CHOICES
You may have rights under applicable data protection laws with respect to their personal information we process on behalf of our Health Partners as a service provider. You should direct any requests regarding your personal information to the Health Partner(s) with whom you have a direct relationship.

RETENTION
We will retain your personal information for as long as reasonably necessary to provide you with Program, as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, or otherwise where permitted or required in accordance with applicable law.

DATA SECURITY
We have implemented physical, administrative, and technical safeguards to maintain the security, confidentiality, and integrity of your information. However, as no transmission of information over the internet is absolutely secure, we cannot guarantee the safety of your information.

CHANGES TO THIS PRIVACY STATEMENT
We may update this Privacy Statement from time to time, so you should review this page periodically. When we change this Privacy Statement in a material way, we will update the “last modified” date at the beginning of this Privacy Statement and provide you with reasonable notice. Your continued use of the Program constitutes the acceptance of the updated Privacy Statement.
